Zevyon Contractor Terms & Conditions

Please read and accept before registering your business

Important: By accepting these Terms & Conditions and registering as a contractor on Zevyon, you agree to follow Zevyon's platform rules, payment rules, pricing and fee schedules, anti-bypass policy, privacy requirements, and professional conduct requirements.

Zevyon's current contractor pricing — including your success-fee rate, the $2,500 volume-tiering threshold, the $5 fee floor, HST, and the cancellation-penalty tiers — is published on the Contractor Pricing page and is incorporated into these Terms by reference.

These Contractor Terms & Conditions ("Terms") govern your use of the Zevyon platform as a contractor, tradesperson, service provider, business, or home-services professional.

By clicking "I Agree & Continue", creating an account, receiving leads, submitting quotes, accepting projects, communicating with customers, or otherwise using the Zevyon platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

1. About Zevyon

Zevyon is an online marketplace that connects homeowners, tenants, property owners, and businesses with independent contractors and service providers.

Zevyon may facilitate customer project requests, contractor matching, quote management, customer communications, reviews and ratings, and project management tools.

Zevyon does not collect, hold, or disburse payment for the jobs contractors perform. Customers pay contractors directly, off-platform, for the full quoted project price. Zevyon's only charge to a contractor is its own success fee, described in Section 5A below.

Zevyon is not a contractor, builder, renovator, tradesperson, employer, agent, partner, or representative of any contractor. Contractors are solely responsible for all services they provide.

2. Contractor Eligibility

To register and use Zevyon, you represent and warrant that:

Contractors remain responsible for all work performed by employees, subcontractors, agents, and representatives.

4. Quotes and Pricing

Contractors are solely responsible for the content and accuracy of quotes submitted through Zevyon.

Contractors agree that quotes will be honest and accurate, pricing will not be misleading, material exclusions and assumptions will be clearly disclosed, and accepted quotes will be honored unless unforeseen circumstances reasonably require modification.

Zevyon does not guarantee that any quote will be selected by a customer.

Pricing and Fee Schedule:

Zevyon does not charge contractors to register, per lead, or on a monthly or annual basis. Zevyon's only charge is a success fee on jobs a contractor actually accepts and wins.

Current pricing, including success-fee rate tiers, the volume-tiering threshold, the fee floor, HST, acceptance-verification and charge timing, and cancellation-penalty tiers, is published on Zevyon's Contractor Pricing page and incorporated into these Terms by reference. Such pricing may be modified from time to time upon notice to contractors, and will govern only bookings entered into after the change takes effect.

5. Payments

Zevyon does not collect, hold, or disburse payment for any project. Contractors are paid directly by their customer, in full, for the exact quoted price — off-platform, entirely outside Zevyon's systems.

Contractors acknowledge and agree that:

5A. The Success Fee, Card Verification, and Charge Timing

Zevyon charges contractors a success fee only on jobs they accept and win. The fee never applies until a job is actually booked, and is never a substitute for, or deduction from, the price the customer pays the contractor directly.

Contractors expressly consent to each of the charges described in this Section 5A — the success fee (rate + HST) and the acceptance-verification authorization — being initiated by Zevyon on their registered payment method, at the times and in the manner described above, without a separate authorization request for each individual charge.

5B. Contractor Cancellation, Discipline, and No-Show Claims

Cancelling a job a contractor has already accepted triggers a real-time card charge attempt at a fixed tier, and an unconditional strike on the contractor's record, regardless of the contractor's reason or whether the charge succeeds, is declined, or is disputed.

Contractors acknowledge and agree that:

No-show claims. If a customer fails to be present for a scheduled job, the contractor may file a no-show claim within 12 hours of the scheduled job time, with arrival evidence (a geo-tagged photo or a timestamped in-app check-in). Filing a claim gives the customer a 24-hour window to respond; if the customer contests, the claim goes to admin review, with release (no capture, no credit) as the default outcome in any ambiguous case; if the customer does not respond, the claim proceeds. A contested claim that fails admin review results in a strike against the contractor. On a successful claim, the contractor earns a fee credit — never cash — toward a future success fee, capped at $100 per incident and 2 per rolling 30-day window, and reversible if the underlying charge is later disputed and reversed.

Contractors expressly consent to the cancellation-penalty charges described in this Section 5B being initiated by Zevyon on their registered payment method at the fixed tiers above, at the time of the triggering cancellation or no-show.

6. Cancellations and Rescheduling

7. Anti-Bypass Policy

Contractors agree not to bypass Zevyon.

Contractors shall not:

Any customer introduction, lead, quote request, project opportunity, communication, contact information, or project details received through Zevyon shall be deemed a Zevyon-generated opportunity.

Any resulting project shall remain subject to Zevyon's applicable success fee and policies, computed on the full quoted project value, including any portion the contractor and customer later arrange to pay directly between themselves.

This obligation survives account closure and remains in effect for twenty-four (24) months following the customer introduction.

Violations may result in immediate suspension, termination, collection efforts, and recovery of unpaid success fees.

8. Customer Communications

Contractors must communicate professionally and respectfully.

Contractors shall not:

Zevyon may monitor communications conducted through the platform for quality assurance, fraud prevention, safety, compliance, and dispute resolution purposes.

9. Reviews and Ratings

Customers may submit reviews and ratings regarding contractor services.

Contractors may not:

Zevyon reserves the right to investigate, remove, edit, reject, or otherwise moderate reviews at its sole discretion.

Contractor rankings and review scores are determined by Zevyon and may change at any time.

10. Privacy and Customer Information

Contractors shall protect customer information obtained through Zevyon.

Customer information may only be used for the project for which it was provided. Contractors will see only the customer's general area (forward sortation area and city) at quote time and acceptance — the customer's exact address releases only per the T-48h sequence in Section 5A, and the customer's phone number only at 24 hours before the job.

11. Contractor Insurance

Contractors are solely responsible for maintaining all insurance required by law and industry standards.

Zevyon may request proof of insurance at any time. Failure to maintain required insurance may result in suspension or termination.

12. Independent Contractor Status

Contractors are independent businesses.

Nothing in these Terms creates employment, partnership, joint venture, agency relationship, franchise relationship, or representative relationship.

Contractors are solely responsible for taxes, payroll obligations, employee compensation, benefits, insurance, and regulatory compliance.

13. No Guarantee of Leads

Zevyon does not guarantee customer leads, project opportunities, revenue, quote requests, customer contacts, ranking positions, business growth, or project awards.

Participation on the platform does not guarantee future work.

14. Intellectual Property

Contractors grant Zevyon a non-exclusive, worldwide, royalty-free license to use business names, logos, reviews, ratings, project descriptions, photos, videos, and marketing content submitted to the platform for marketplace operations, promotion, advertising, marketing, and platform improvement.

Contractors represent that they possess all rights necessary to grant this license.

15. Fraud and Misrepresentation

Contractors shall not:

Fraud or misrepresentation may result in immediate termination, forfeiture of any applicable fee credit, and legal action.

16. Limitation of Liability

To the maximum extent permitted by law, Zevyon shall not be liable for contractor workmanship, customer actions, property damage, personal injury, permit issues, code violations, project delays, lost profits, lost business opportunities, indirect damages, consequential damages, incidental damages, or special damages.

Zevyon does not guarantee the quality, safety, legality, suitability, or completion of any project.

To the fullest extent permitted by law, Zevyon's total liability arising from any claim shall not exceed the total success fees paid by the contractor to Zevyon during the six (6) months preceding the claim.

17. Indemnification

Contractors agree to defend, indemnify, and hold harmless Zevyon, its officers, directors, employees, affiliates, agents, contractors, successors, and assigns from any claims, damages, losses, liabilities, penalties, judgments, costs, and expenses, including reasonable legal fees, arising from:

This obligation survives termination of the contractor account.

18. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith negotiations.

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

19. Suspension and Termination

Zevyon may suspend, restrict, investigate, or terminate access to the platform at any time for policy violations, fraud, customer complaints, safety concerns, misrepresentation, non-payment of the success fee or a cancellation-penalty charge, bypass violations, regulatory concerns, three strikes within a rolling 90-day window, or conduct that may harm Zevyon, customers, or other contractors.

Termination does not eliminate obligations that accrued prior to termination.

20. Changes to Terms

Zevyon may modify these Terms at any time. Updated versions will be published on the platform.

Continued use of Zevyon after publication of revised Terms constitutes acceptance of the updated Terms.

Zevyon may require contractors to review and reaccept updated Terms before continuing to access certain features of the platform.

21. Acceptance

By proceeding, you acknowledge that your acceptance of these Terms will be recorded electronically by Zevyon and may be used as evidence of your agreement to these Terms, including your consent to each charge type named above.
